Yes, you are correct. I was writing from the perspective of Ontario law and a corporation incorporated using the Ontario Business Corporations Act. Obviously, a federally incorporated corporation may keep their books and records anywhere in Canada.

Have to disagree with you on one of your points.

Contrary to your first sentence under the heading 'Statutory Requirement', s. 20(1) of the CBCA in fact states that corporate records may be maintained at any location IN CANADA that the directors designate.

Federal corporations are subject to the CBCA.

Your article is fantastic, I will be forwarding to others.

What really hit home for me is your comment
"I personally recommend that corporations keep their minute books at their office. Though many lawyers like to keep minute books in their files, the minute book is so central to your business that it should be a regularly used document."

This is so true, the challenge now becomes how to manage the information, keep updated and also make sure your directors, have access.

I built BoardSuite which is a free service that manages minute book and a lot more. For the very reason you stated, you need to have control of your Corporate Minute book.

BoardSuite is SECURE on demand FREE board portal
https://secure.boardsuitecorp.com/Login.aspx

I look forward discussing your article further if you ahve time

Thank you

Hello Andrew,

Yes, you may reprint the minute books article on your website. The only thing we ask is that you credit the original author and provide a link back to the original article.

Hi Paul,

This is a great article!

I am a Corporate Law Clerk in Ontario and I'm starting a website to try to get some clients to help maintain their minute books. Can I have your permission to use this article on my website? Is this something you would be okay with?

Please let me know, thank you very much!
